1. Who you are contracting with

These Terms & Conditions ("Terms") form a binding agreement between you and realbasic.ai LLC ("RealBasic", "we", "us"), the operator of the RealBasic platform available at realbasic.ai (the "Service"). By creating an account or using the Service you agree to these Terms.

2. Eligibility & authority

You must be at least 18 years old. If you use the Service on behalf of a brokerage, team, or other organization, you represent that you have authority to bind that entity to these Terms.

3. The Service

RealBasic provides real estate agents with a branded public website, AI-generated listing copy, social posts, flyers, email blasts, lead capture forms, and contact management tooling. Features may evolve over time.

4. Your account

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.

5. Acceptable use

You must not, and must not allow any third party to:

  • use the Service for unlawful, fraudulent, or deceptive purposes;
  • send spam, unsolicited bulk email, or content that violates anti-spam laws;
  • infringe the intellectual property, privacy, or publicity rights of others;
  • upload malware or interfere with the security or integrity of the Service;
  • scrape, probe, reverse engineer, or attempt to circumvent technical limits;
  • resell, sublicense, or redistribute the Service without our written consent.

6. AI-generated content

The Service uses generative AI to produce listing descriptions, social posts, flyer copy, and similar outputs ("AI Outputs"). You acknowledge and agree that:

  • Accuracy is not guaranteed. AI Outputs may contain errors, omissions, or inaccurate statements about properties, markets, or regulations. You are solely responsible for reviewing every AI Output before publishing, sharing, or relying on it.
  • Your responsibility for prompts and inputs. You must have the rights to any text, images, listings, or contact data you submit, and you must not submit content that is illegal, infringing, deceptive, or that depicts identifiable individuals without permission.
  • Prohibited AI use. You may not use the Service to generate discriminatory housing advertisements (including content that violates the Fair Housing Act), deepfakes, defamatory statements, hate speech, or content designed to mislead consumers about a property's condition, price, or availability.
  • IP in AI Outputs. Subject to your compliance with these Terms, you own the AI Outputs you generate for your listings and are responsible for how they are used. We may use de-identified prompts and outputs to improve the Service.
  • Takedown & moderation. We may remove, restrict, or refuse to generate any content, and may suspend accounts that repeatedly produce infringing or policy-violating material. To report infringing content, email legal@realbasic.ai.
  • No professional advice. AI Outputs are not legal, financial, tax, or appraisal advice and must not be relied on as such.

7. Your content

You retain ownership of the listings, photos, contacts, and other content you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process Your Content solely to operate and improve the Service.

8. Intellectual property

The Service, including its software, design, branding, and documentation, is owned by realbasic.ai LLC and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and your selected plan.

9. Payments, subscriptions & trials

Paid plans are sold on a subscription basis with a 7-day free trial. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms in addition to these Terms and our Refund Policy.

10. Suspension & termination

We may suspend or terminate your access at any time for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. You may cancel your subscription at any time from your dashboard or via paddle.net. On termination your right to use the Service ends; we will retain or delete Your Content as described in our Privacy Notice.

11. Service availability & warranties

The Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or lost business opportunities. Nothing in these Terms limits liability that cannot be limited under applicable law (including for fraud, death, or personal injury).

13. Indemnification

You agree to defend, indemnify, and hold harmless realbasic.ai LLC from any claim, loss, or expense arising out of (a) Your Content, (b) your use of AI Outputs, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction.
